Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives termination of services.
We provide our services "as is" and make no warranties beyond those explicitly stated in your service agreement. We disclaim all implied warranties including merchantability and fitness for a particular purpose.
We do not guarantee uninterrupted or error-free services, and we are not responsible for third-party service interruptions.
To the fullest extent permitted by law, our liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim in the preceding 12 months. We shall not be liable for any indirect, incidental, special, or consequential damages.
You agree to indemnify and hold harmless Smith Network Solutions, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
Specific service level agreements (SLAs) for managed IT services or other ongoing services will be detailed in separate service agreements. SLA credits, if applicable, are your sole remedy for service level failures.
Either party may terminate services according to the terms specified in the service agreement. Upon termination:
Any disputes arising from these terms or our services shall first be addressed through good faith negotiations. If unresolved, disputes shall be settled through binding arbitration in Georgia, United States, in accordance with the American Arbitration Association rules.
These terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.
We reserve the right to modify these terms at any time. We will notify existing clients of material changes. Continued use of our services after changes constitutes acceptance of the revised terms.
These terms, together with any separate service agreements, constitute the entire agreement between you and Smith Network Solutions regarding our services.
