1. Agreement to Terms

By accessing or using the services of Smith Network Solutions, LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services

Smith Network Solutions provides:

  • Website design and development services
  • Custom software development
  • Managed IT services
  • Technical consulting
  • Related technology solutions

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information as required for service delivery
  • Provide timely feedback and approvals necessary for project completion
  • Make timely payments according to agreed terms
  • Ensure you have necessary rights to any content or materials you provide
  • Use our services in compliance with all applicable laws and regulations

4. Payment Terms

Payment terms are as follows unless otherwise specified in a separate agreement:

  • Payment is due according to the schedule outlined in your service agreement
  • Late payments may incur interest charges
  • We reserve the right to suspend services for overdue accounts
  • All fees are non-refundable unless otherwise stated

5. Intellectual Property

Unless otherwise agreed in writing:

  • Upon full payment, you own the custom work product created specifically for you
  • We retain rights to our pre-existing materials, methodologies, and general knowledge
  • We may showcase completed work in our portfolio unless you request otherwise
  • You grant us license to use your materials as necessary to provide services

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives termination of services.

7. Warranties and Disclaimers

We provide our services "as is" and make no warranties beyond those explicitly stated in your service agreement. We disclaim all implied warranties including merchantability and fitness for a particular purpose.

We do not guarantee uninterrupted or error-free services, and we are not responsible for third-party service interruptions.

8. Limitation of Liability

To the fullest extent permitted by law, our liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim in the preceding 12 months. We shall not be liable for any indirect, incidental, special, or consequential damages.

9. Indemnification

You agree to indemnify and hold harmless Smith Network Solutions, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

10. Service Level Agreements

Specific service level agreements (SLAs) for managed IT services or other ongoing services will be detailed in separate service agreements. SLA credits, if applicable, are your sole remedy for service level failures.

11. Termination

Either party may terminate services according to the terms specified in the service agreement. Upon termination:

  • All outstanding fees become immediately due
  • We will provide reasonable assistance in transitioning services
  • Each party will return or destroy the other's confidential information

12. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good faith negotiations. If unresolved, disputes shall be settled through binding arbitration in Georgia, United States, in accordance with the American Arbitration Association rules.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify existing clients of material changes. Continued use of our services after changes constitutes acceptance of the revised terms.

15. Entire Agreement

These terms, together with any separate service agreements, constitute the entire agreement between you and Smith Network Solutions regarding our services.
